Service agreement
The Filed & Posted service agreement
This agreement is between SkyLimit LLC, a Virginia limited liability company doing business as Filed & Posted (“we”, “us”), and the business named at checkout (“you”, “the Client”). You accept it by ticking the box at checkout and completing payment. That acceptance is your electronic signature, and Stripe records the date and time.
In plain terms: month to month, cancel anytime, you approve everything before it posts, and we never give tax advice.
1. What we provide
- Twelve social media posts a month, with captions and custom graphics in your brand, for Facebook and LinkedIn, also sized for Instagram and Google Business Profile.
- A content calendar built around federal tax deadlines, law changes and the office dates you give us.
- A fact-check of every figure and date against IRS or state primary sources for the correct tax year, with the source logged next to the post.
- One round of revisions per month.
- Optional scheduling to your pages, using page-editor access you grant and can remove at any time. We never ask for your passwords.
2. What is not included
Replying to comments or messages, paid advertising, website work, and tax, legal or accounting advice of any kind. We do not promise any number of followers, clients or revenue.
3. Your part
- Complete the intake form accurately and tell us when anything changes, such as services, hours or credentials.
- Review and approve each month, or request changes, within five business days of delivery.
- Do not send us client tax returns, Social Security numbers or any other tax return information, including details about identifiable clients. We do not need them and will delete anything sent by mistake. Client stories or testimonials are used only from reviews already public, or with that client’s written consent, which you are responsible for obtaining.
- You confirm you have the right to let us use the logos, photos, reviews and other materials you provide, and that any reviews you give us are genuine. We will not change a review’s meaning.
- You are the responsible practitioner. You remain responsible for your own advertising under IRS Circular 230 (§10.30), your state board’s rules and any other rules that apply to you. That is why nothing is published without your approval.
4. Delivery and approval
Your first month is delivered within five business days of receiving your completed intake form. After that, each month is delivered by the 25th of the month before. Content goes live only after you approve it. If you do not respond within ten business days, the month counts as delivered, but nothing is posted without your approval.
5. Fees and billing
- Monthly plan: the price shown at checkout (founding rate $250 a month), billed in advance on the date you sign up and automatically each month after that until you cancel.
- Annual plan: the price shown at checkout (founding rate $2,700) for twelve months of service, billed in advance. It renews automatically for another twelve months unless you cancel before the renewal date. We email you a reminder at least 30 days before each renewal.
- Payments are processed by Stripe by card or US bank account. Stripe emails your receipts and invoices.
- Your rate is locked for as long as your plan stays active. If we change prices for future renewals, we will give you at least 30 days’ notice by email.
- If a payment fails, Stripe will retry it and email you. If it is still unpaid after 14 days, we may pause the service until it is paid.
- Fees do not include any sales or similar taxes that may apply; if any apply, they are shown at checkout.
6. Cancelling
- There is no minimum term. Cancel anytime from your billing page, or email hello@filedandposted.com.
- Monthly plan: cancellation takes effect at the end of the month you have paid for. You keep that month’s content. We do not give partial-month refunds.
- Annual plan: if you cancel within 30 days of purchase, we refund the months not yet delivered. After 30 days, the annual fee is non-refundable and service continues to the end of the twelve months.
- We may end this agreement with 30 days’ notice, and refund any fees paid for months not yet delivered.
7. Our accuracy promise
If a tax figure or deadline that we wrote and you approved turns out to be wrong because of our error, we will refund that month’s fee and send a correction post at no charge. This promise does not cover information you gave us, changes in law after the content was approved, or edits you made.
8. Who owns the posts
Once you have paid for a month, the posts, captions and graphics delivered for that month are yours to use, edit and keep, including after you cancel. We keep ownership of our templates, methods and tools. We will not show your posts as samples without your written permission.
9. Confidentiality and data
We keep your non-public business information confidential and use it only to provide the service. We handle personal information as described in our privacy policy.
10. Limits of liability
Apart from the accuracy promise in section 7, the service is provided as described here without other warranties. Posts are general educational content, not tax, legal or accounting advice. To the extent the law allows, our total liability under this agreement is limited to the fees you paid in the three months before the claim. Neither of us is liable for indirect or consequential losses, such as lost profits or lost clients.
11. General
- This agreement is governed by the laws of the Commonwealth of Virginia. If a dispute arises, we will first try to resolve it by talking for at least 30 days; after that, either of us may bring it in the state or federal courts serving Fairfax County, Virginia.
- We are an independent contractor. Neither of us may assign this agreement without the other’s consent, except as part of selling the business.
- Neither of us is responsible for delays caused by events outside our reasonable control, such as platform outages.
- If any part of this agreement is found unenforceable, the rest still applies. Sections 7 to 10 continue after the agreement ends.
- It is the entire agreement between us about the service and replaces any earlier discussions.
- If we update this agreement, we will email you at least 30 days before the changes apply to you, and post the new version here with a new date.
